France - December 2011
Une procédure d'insolvabilité ouverte en France peut-elle être étendue pour cause de confusion des patrimoines à une société dont le siège est en Italie ?
La CJUE précise, au regard du règlement (CE) n° 1346/2000 relatif aux procédures d'insolvabilité, les conditions permettant une extension d'une procédure d'insolvabilité ouverte à l'égard d'une société établie dans un État membre (France) à une société dont le siège est situé dans un autre État membre (Italie) pour cause de confusion des patrimoines. En l'occurrence, une société dont le siège était situé à Marseille a été mise en liquidation judiciaire ; le liquidateur judiciaire a ensuite assigné devant tribunal de commerce de Marseille une société italienne afin d'étendre à celle-ci la procédure d'insolvabilité de la société française en invoquant la confusion des patrimoines.La CJUE décide : Le règlement (CE) n° 1346/2000 du 29 mai 2000, relatif aux procédures d'insolvabilité, doit être interprété en ce sens qu'une juridiction d'un État membre qui a ouvert une procédure principale d'insolvabilité à l'encontre d'une société, en retenant que le centre des intérêts principaux de celle-ci est situé sur le territoire de cet État, ne peut étendre, en application d'une règle de son droit national, cette procédure à une deuxième société, dont le siège statutaire est situé dans un autre État membre, qu'à la condition qu'il soit démontré que le centre des intérêts principaux de cette dernière se trouve dans le premier État membre.
Le règlement n°1346/2000 doit être interprété en ce sens que dans l'hypothèse où une société, dont le siège statutaire est situé sur le territoire d'un État membre, est visée par une action tendant à lui étendre les effets d'une procédure d'insolvabilité ouverte dans un autre État membre à l'encontre d'une autre société établie sur le territoire de ce dernier État, la seule constatation de la confusion des patrimoines de ces sociétés ne suffit pas à démontrer que le centre des intérêts principaux de la société visée par ladite action se trouve également dans ce dernier État. Il est nécessaire, pour renverser la présomption selon laquelle ce centre se trouve au lieu du siège statutaire, qu'une appréciation globale de l'ensemble des éléments pertinents permette d'établir que, de manière vérifiable par les tiers, le centre effectif de direction et de contrôle de la société visée par l'action aux fins d'extension se situe dans l'État membre où a été ouverte la procédure d'insolvabilité initiale (CJUE, 1re ch., 15 déc. 2011, aff. C-191/10, Rastelli Davide e C. Snc c/ J.-C. H., ès qualité).
Germany - December 2011 - Cartel Prosecution
Fines totalling approx. € 24 million have been imposed on Reckitt Benckiser Deutschland GmbH and certain employees beacuse of price fixing agreements for the products "Calgonit" and "Somat" and for anti-competitive exchange of information. In both proceedings Reckitt Benckiser was granted a reduction of its fines for its co-operation in clarifying the accusations and in shortening the court procedure.

Bundeskartellamt – Cable Networks Clearance of merger between Liberty and Kabel BW subject to conditions and obligations
Bonn, 15 December 2011: Today the Bundeskartellamt has cleared the acquisition of the cable network operator Kabel Baden-Württemberg by Liberty Global Europe Holding subject to conditions and obligations. Liberty undertakes to grant special termination rights for large contracts for retail TV services and to end its encryption of digital free TV programmes. The company has also agreed to forgo certain exclusivity clauses and ownership claims or rights to dismantle household cable connections.CYPRUS - December 2011

EU COMMISSION - October 2011
The European Commission has published a proposal for Regulation on a Common European Sales Law. The proposal would cover business-to-consumer and business-to-business contracts for the sale of goods and related services. Financial services ar eexcluded. The proposal argues that differences in contract law are a barrier for traders and consumers who wish to engage in cross-border trade. The proposal would introduce a separate set of rules into each Member State's legal system that could be selected for use.
FRANCE - OCTOBER 2011
Une contribution pour l'aide juridique de 35 €L'article 54 de la loi n° 2011-900 du 29 juillet 2011 de finances rectificative pour 2011 introduit, à l'article 1635 bis Q du Code général des impôts, une contribution pour l'aide juridique de 35 € qui sera perçue par instance introduite en matière civile, commerciale, prud'homale, sociale ou rurale devant une juridiction judiciaire ou par instance introduite devant une juridiction administrative.
La contribution, due par la partie qui introduit une instance, est exigible lors de l'introduction de l'instance, à compter du 1er octobre 2011. Toutefois, la contribution n'est pas due :
- par les personnes bénéficiaires de l'aide juridictionnelle ;
- par l'État ;
- pour les procédures introduites devant la commission d'indemnisation des victimes d'infraction, devant le juge des enfants, le juge des libertés et de la détention et le juge des tutelles
- pour les procédures de traitement des situations de surendettement des particuliers et les procédures de redressement et de liquidation judiciaires ;
- pour les recours introduits devant une juridiction administrative à l'encontre de toute décision individuelle relative à l'entrée, au séjour et à l'éloignement d'un étranger sur le territoire français ainsi qu'au droit d'asile ;
- pour les procédures des articles L. 521-2 du Code de justice administrative (juge des référés statuant dans l'urgence) ; 515-9 du Code civil (mesures de protection des victimes de violence) ; L. 34 du Code électoral (personnes omises sur les listes électorales).
Lorsqu'une même instance donne lieu à plusieurs procédures successives devant la même juridiction, la contribution n'est due qu'au titre de la première des procédures intentées. Lorsque l'instance est introduite par un auxiliaire de justice, ce dernier acquitte pour le compte de son client la contribution par voie électronique. Sans auxiliaire de justice, la partie acquitte cette contribution par voie de timbre mobile ou par voie électronique. Les conséquences sur l'instance du défaut de paiement de la contribution seront fixées par voie réglementaire.
La contribution pour l'aide juridique est affectée au Conseil national des barreaux (CNB). Le produit de la contribution est intégralement affecté au paiement des avocats effectuant des missions d'aide juridictionnelle, par l'intermédiaire des caisses des règlements pécuniaires des avocats.
Il est précisé, par ailleurs, que la personne qui a bénéficié de l'intervention d'un avocat commis d'office dans les conditions prévues à l'article 63-3-1 du Code de procédure pénale et qui n'est pas éligible à l'aide juridictionnelle est tenue de rembourser au Trésor public les sommes exposées par l'État.

Germany – July 2011 - Prosecution of cartels
The Bundeskartellamt has imposed a fine of 17.5 million Euro against Iveco Magirus Brandschutztechnik GmbH in Ulm for its involvement in anti-competitive agreements on the manufacture of fire engines equipped with turntable ladders. The other participant in the anti-competitive agreements was Metz Aerials GmbH & Co. KG, Karlsruhe, which belongs to the Austrian Rosenbauer group. No fine was imposed against Rosenbauer because the company had informed the Bundeskartellamt of the cartel agreement in 2010 by way of a leniency application.
The order imposing the fine is not yet final and can be appealed against at the Düsseldorf Higher Regional Court. The fined company's willingness to end the proceedings by settlement has been considered in the calculation of the fine.

UK – May 2011 - Security registration regulations to be published in summer 2011
Draft regulations are soon to be published on the Companies House regime for the registration of security created by companies and limited liability partnerships are to be published by the Department for Business Innovation and Skills (BIS). However, certain issues including security by trustees over trust assets, security over acquired property and floating charges need to be resolved prior to the publication of the regulations.
UK - May 2011 - Equality Act disability guidance: in force on 1 May 2011
Guidance on the definition of “Disability” in the Equality Act 2010 came into force on 1 May 2011. It considers which factors should be taken into account in determining questions in relation to disability. The previous 2006 version of the guidance will still apply for claims involving alleged acts of discrimination or harassment committed before 1 May 2011.

UK - May 2011 - Supreme Court grants leave for appeal on whether legal professional privilege should extend to non-lawyers
The Supreme Court has granted leave to appeal from the Court of Appeal's decision in R (Prudential plc and another) v Special Commissioner of Income Tax and another [2010] EWCA Civ 1094, that common law legal professional privilege does not apply to any professional other than a qualified lawyer. The Court of Appeal had emphasised in its judgment that, as legal professional privilege is an absolute rule, it is essential that it should be clear and certain in its application. This case has important implications for all professions.
UK – May 2011 - Bribery Act: in force 1st July 2011
The Bribery Act 2010 will come into force on 1st July 2011, replacing and bringing together the current bribery laws which are 120 years old. Bribery Act Prosecution Guidance has been published by the Serious Fraud Office. This should be read in conjunction with the Guidance on Corporate Prosecutions, for potential corporate prosecution cases and is subject to the Code for Crown Prosecutors. Companies who are conducting a risk assessment will find the Guidance helpful as they will be able to determine how vulnerable they are to infringing the Bribery Act, the likelihood of being prosecuted and how to minimise those risks. Guidance is also given on the controversial issues that have arisen out of the Act, namely how the SFO intends to enforce the Bribery Act in relation to facilitation payments and hospitality and promotional expenditure.

May 2011 - European Contract Law for Consumers and Business
In order to make a “European Contract Law for Consumers and Business” possible, the European Commission set up an expert group in April 2010, which published its report on May 3, 2011. The main emphasis was put on the Law of Purchase and Sales as well as the Law of Services. The paper has 6 chapters: Chapter I includes general definitions and esp. a definition of consumers. Chapter II relates to “ rules of formation of contracts and the right to withdraw”. Chapter III relates to “accessing, what is in the contract”. Part IV refers to “obligations and remedies of the parties to a sales contract”. Part V refers to “obligations and remedies of the parties to a related service contract”. Part VI relates to “damages”.There is a chance to comment this proposal until July 1, 2011.

Ireland has implemented EU Directive 2008/122/EC. The Regulations set out the information that has to be provided by traders to the consumer on any relevant contractual document and the arrangement for the communication of that information pursuant to the European Union (Protection of Consumers in respect of Time Share, Long Term Holiday Product Resale and Exchange Contract Regulations).
April 2011 - Insider dealing - ECJ clarification
The European Court of Justice (ECJ) has recently provided more clarity in to the prohibition on insider dealing as contained in the Market Abuse Directive. The Court determined that when a person who possesses inside information deals in financial instruments to which that information relates there is a presumption that the inside information was used in dealing. The onus of proof passes to the person who actually deals with the security, they must rebut the presumption by demonstrating the transaction was entered in to legitimately or he will be determined to be guilty of insider dealing.
UK - February 2011 Bribery Act – Delayed
In an attempt to make the Act as “practical and comprehensive” for businesses as possible, the Ministry of Justice has confirmed that The Bribery act 2010 will be delayed for a period of three months after the final guidance is published.
The Act was due to come into force in April 2011 with the final guidance expected to have been published in January 2011.
UK February 2011 Unfair Dismissal: Update
The court of Appeal has ruled in Orr v Milton Keynes Council [2011] EWCA Civ 62, that when determining whether a dismissal was fair, it is the facts known to the decision-maker that are relevant, as long as a thorough investigation has been carried out. Facts known by the employee cannot be inferred to the knowledge of the employer.
The court acknowledged that when addressing a large corporate entity, with a large volume of staff, it is difficult to ascertain an employer’s knowledge. It is important to delegate such responsibilities within certain areas of the company. So, the court stated it is the knowledge of that individual, who is responsible for the employee in question that should be addressed.
It is important to look at the reasonableness of the employers conduct, and not the consequences to the employee.
UK - February 2011 Employment Tribunal Compensation Limits increase.
As from 1st February 2011, the Tribunal compensation limits increase from £65,300 to £68,400 and the maximum amount of weeks pay that can be used to calculate statutory redundancy pay will rise from £380 to £400. This was done under the Employment Right (Revision of Limites) Order 2010 (SI 2926/2010).
UK - February 2011 UK implementation of EU Law.
New principles have been released by the secretary of State for Business and Chair of the Reducing Regulation Committee for implementing EU law into the UK.
A new direct ‘copy out’ principle will replace the previous ‘gold plating’ principle with an aim of preventing UK businesses from disadvantaged against their competitors governed by EU laws.
The key elements of the principles are:
1. Once agreement is reached in Brussels, implementation of a European directive should start immediately;
2. Early transposition of EU regulations will be avoided, unless compelling reasons are given to do so;
3. EU legislation shall be copied into UK legislation, except to the detriment of UK interests; and
4. Every five years, ministers will be under a statutory duty to review all domestic legislation that has implemented EU law.
February 2011 - England - High Court Ruling – Email chains may suffice as Guarantee
Section 4 of the Statute of Frauds 1677 provides a statutory defence to a guarantor stating that to be a valid guarantee, it must be an agreement, memorandum or note, in writing and signed.
However, the High Court has ruled against this, stating that a chain of emails along with their related documents may suffice as a guarantee and avoid these requirements.
It was held that it would be “good commercial sense” to look at whatever documents there may be, whether email or otherwise that may constitute part of the guarantee.
This case is a useful reminder of how courts are more commonly looking at pre-contract negotiations to establish the intentions of parties, and such negotiations should be take with caution.
UK – September 2010 - The Bribery Act 2010
The Act is due to come into force in April 2011. Section 7 of the Bribery Act 2010 states that it is unlawful for a relevant commercial organisation to prevent bribery in the workplace. The Ministry of Justice has recently released it’s consultation on guidance and the draft guidance for the adequate defence procedures. The six key principles addressed are: Risk Assessment, Top Level Commitment, Due Diligence, Clear, practical and accessible policies and procedures, Effective implementation, and Monitoring and review. The final version of the guidance, along with a response will be published in the early part of 2011 in time for the Act coming into force in April 2011.
UK – September 2010 - CRC Energy Efficient Scheme – time is running out
On 1st April 2010, one of the UK’s latest strategies for improving energy efficiencies came into force. The Carbon Reduction Commitment Energy Efficiency Scheme (“CRC”) has a primary aim of reducing Co2 emissions. It aims to reduce Greenhouse gas emissions by 80% by 2050. The last date for registration in the introductory phase is 30th September 2010.
The Scheme applies not only to businesses that spend over £500,000 on electricity each year, but also to a further 20,000 organisations. Penalties for non-compliance can consist of both Civil and Criminal prosecution.
Participants will buy allowances based on their estimated usage during the relevant compliance year, and then surrender their usage at the end of that period. Payments for these allowances will be recycled back to participants in the scheme and combined with a League Table in order to incentivise organisations to reduce their energy efficiency.
Landlords will have to provide in their lease agreement to arrange responsibility and costs between them and the tenant.
September 2010 - UK – Criminal Enforcement of Consumer Protection Regulations.
The Office of Fair Trading (OFT) intends to use criminal enforcement under the Unfair Trading Regulations 2008 when civil enforcement is unlikely to be effective in either achieving a change in behaviour, or if the breach is sufficiently serious, to pursue in criminal courts.
The OFT has set out certain circumstances where it is likely to turn to criminal investigation, which include when a particular breach is, or has the risk of becoming widespread and causing consumer detriment, fraud and deception.
The two tests to determine whether to prosecute are set out in the Code for Crown Prosecutors when deciding whether to prosecute.
September 2010 - EU – UK - E-Privacy Directive
The revised E-Privacy Directive was addressed in the UK Government’s September 2010 consultation. Laws have been tightened stating that the use of ‘cookies’ is only allowed if the individual has consented having been given comprehensive information as to why the cookies are being used.
However, recital 66 of the amending directive (2009/136/EU) implies consent by using the appropriate settings of a browser. This however contrasts with other views that recognise most browsers accept cookies by default.
Discussion and consultation will end on 3rd December. The revised directive must be implemented by 25th May 2011.
September 2010 - UK – Equality Act
On 1st October 2010 The Equality Act 2010 starts to come into force; it simplifies the current law on anti-discrimination by consolidating current Acts. It will be introduced in various different stages. It is not intended to change the law, but to broaden its scope, add further restrictions, and simplify the law in one single Act.
September 2010 - UK and US Patent Co-operation
Plans to increase co-operation, efficiency and quality of the patent examination process between the UK Intellectual Property Office (IPO) and the US Patent and Trademark Office (USPTO) have been announced, so as to reduce duplication of work by allowing mutual access to their work for commonly filed patent applications. The IPO and USPTO have agreed to begin this mutual relationship in October 2010.
In addition to access to the other’s work, this process will also include training, data collection and analysis to assess and alter. In addition to this a more simplified access system will be addressed in order to make this relationship more efficient and effective.
September 2010 - World - New Online Search Tool for Intellectual property.
In June 2010 World Intellectual Property Organisation (WIPO) has launched a new online facility, WIPO Lex, allowing users to search in-depth on national Intellectual Property (IP) laws and treaties.
The search also includes more in-depth analysis and gives commentary on interpretation as to the law and treaties. It includes the complete IP legal texts for over 60 countries and coverage for a further 100.

July 2010 - Company Law - Europe
An Amending Directive amending the Prospectus Directive 2003/71/EC has now been published. This highlights a number of areas in which the Prospectus Directive could be improved to aid legal certainty and reduce burdens from administrative requirements. The key changes:-
- The importance of the Summary in the prospectus as a source of key information for retail investors when making decisions;
- No civil liability to be incurred solely on the basis of the Summary;
- Financial intermediaries, selling securities on to retail investors may use the issuers prospectus provided the issuer consents in writing to such use;
- Withdrawal rights provided if an issuer publishs a supplement if a significant new factor, material mistake or inaccuracy arises to which the prospectus relates. This obligation arises until the close of the offer or admission of the securities to trading;
- Certain Walk Away rights are amended to the two day Walk Away right;
- The time periods for prospectus validity remains as 12 months validity period;
- Amendment of the definition of “qualified investors”;
- Offers to less then 150 persons are exempt.
June 2010 - E.U. - Distribution Agreements and the Law – new EU Regulation.
Every ten years, the European Commission revises its laws on distribution and franchising agreements and the law. On 1st June 2010, the new block exemption for vertical agreements and its accompanying Guidelines will come into force. The new law changes rules on internet selling under competition law in the EU. "The regulation provides an 'exemption' if its hard core listed restrictions are avoided. However, companies where either party has more than 30% of a market cannot use it, and will need to analyse their agreements from scratch under the competition rules, using the useful Guidelines of the Commission to do so, which have also just been revised and issued". June 2010 - Switzerland - An End to Banking Secrecy?
Switzerland has agreed in principle to abolish banking secrecy in relation to the USA. This is likely to be considered and ratified by the Swiss Parliament on 7th June. If ratified, this could damage Switzerland’s reputation as a neutral and discrete banking location.
21.05.2008 - Federal Government adopts modern accounting law for enterprises in Germany
According to the german Ministry of Justice, this legislation substantially eases financial strains in the economy and strengthens Commercial Code accounting law for competition with international accounting standards. Provisions that are central to the proven, inexpensive and straightforward accounting law of the Commercial Code will be retained. The annual financial statement drawn up under commercial law remains the basis for distributing profits and for calculating profits for tax purposes.
May 2010 - Germany - Competition Law blocks Canadian automotive take-over
Germany has prohibited the Canadian automotive component supplier Magna International Inc from acquiring the insolvent Karmann's GmbH’s European convertible roof systems business. On 21 May 2010, following almost four months of examination under merger control, the Bundeskartellamt decided to prohibit the acquisition project. The competition authority’s decision was based on extensive analysis of the relevant market in Germany and Europe.
May 2010 - Germany offers English language pleading in court
The Bundesrat has voted in favour of introducing the Reform Bill, originating from the state governments of North Rhine-Westphalia, Hamburg, Hesse and Lower Saxony, into Parliament. Under the proposed rules, international commercial litigation proceedings before German courts would be held in the English language. Such proceedings would come under the jurisdiction of special chambers, to be newly established at a number of designated regional courts. German law is internationally renowned for its coherence and consistency. English as a court language would help create awareness for the benefits of the German judicial system. April 2010 - Scotland - environmental innovation
Anderson Strathern has acted as the lead Solicitor to The Crown Estate in the completion of Agreements in respect of the world’s first commercial wave and tidal electricity project, which is in Scottish waters, at locations that are said to be amongst the best in the world for generating electricity by wave and tidal power. This emphasises The Crown Estate’s unique position in the marine renewables industry, and is a key step towards delivery of the statutory reduction in gas emissions. Unlike wind power, wave and tidal power is an industry yet to be developed on a commercial scale making the challenges quite different. The Crown Estate and developers worked together to create a framework for the development of technology.
March 2010 - European Court of Justice – Insolvency law
Case 444/07 MG Probud Gdynia sp. z.o.o:- “The European Court concluded that after the main insolvency proceedings have opened in a Member State the competent authorities of another Member State, in which no secondary insolvency proceedings have been opened, are in principle required to recognise and enforce all judgements relating to the main insolvency proceedings and, therefore, are not entitled to order, pursuant to the legislation of that other Member State, endorcement measures relating to the assets of the debtor declared insolvent that are situate in its territory when the legislation of the State of the opening of the proceedings does not so permit”.
This is an important Decision as it means that if a decision has been given in an insolvency proceeding no enforcements of any pre-existing judgements can be enforced in another jurisdiction i.e. a judgement credit or cannot sequestrate the assets of the insolvent company in another jurisdiction.
